Risk Disclosure

Please read this document carefully before using WINPROPRIME's infrastructure or services.

01

Important Information

WINPROPRIME provides institutional trading infrastructure, multi-asset liquidity, execution technology, connectivity solutions, risk-management infrastructure, and related services for professional counterparties, including brokers, financial institutions, prop trading firms, hedge funds, family offices, and fintech platforms.

The information on this website is provided for general informational purposes and is not intended to constitute investment, financial, legal, tax, or regulatory advice. The availability and characteristics of any product, service, liquidity arrangement, execution model, or connectivity solution may vary according to the applicable agreement and the client's specific operating environment.

Financial markets and trading activities involve significant risks. Before entering into any transaction or using any trading or execution infrastructure, you should ensure that you understand the relevant risks and obtain independent professional advice where appropriate.

02

Market Risk

Prices across financial markets can move rapidly and unpredictably. WINPROPRIME's infrastructure supports liquidity and execution across multiple asset classes, including forex, metals, indices, energy, and crypto CFDs, subject to the applicable service arrangement.

Market prices may be affected by:

  • Economic data releases and monetary policy decisions
  • Geopolitical events and changes in market sentiment
  • Liquidity conditions and unexpected news
  • Other factors beyond reasonable control

During periods of heightened volatility, available liquidity may decrease and market prices may move substantially within a short period. No technology, liquidity arrangement, or execution infrastructure can eliminate market risk.

03

Leverage & Margin Risk

Where leveraged or margin-based trading products are used, leverage can magnify both gains and losses.

A relatively small movement in the underlying market may result in a disproportionately large change in the value of a position. Depending on the applicable trading arrangement, losses may occur rapidly and may require additional margin or collateral.

Clients and their underlying users should understand the leverage and margin requirements applicable to their trading activity before entering into leveraged transactions.

04

Liquidity Risk

WINPROPRIME aggregates liquidity from connected institutional liquidity providers and supports multi-asset execution through its liquidity infrastructure. However, liquidity is not constant.

Market depth, spreads, available execution sizes, and the number of available liquidity providers may change according to market conditions. During periods of extreme volatility, market disruption, reduced trading activity, or limited liquidity, available liquidity may decline. This can result in:

  • Wider spreads and partial fills
  • Rejected orders or delayed execution
  • Execution at a materially different price from the price initially expected

Liquidity aggregation and smart order routing are designed to support execution efficiency, but they cannot guarantee a particular price, spread, fill rate, or execution outcome.

05

Execution & Slippage Risk

WINPROPRIME provides execution infrastructure incorporating smart order routing, liquidity aggregation, pre-trade and post-trade controls, and execution reporting. However, the price available at the time an order reaches a liquidity venue may differ from the price expected when the order was submitted.

Slippage can occur when market prices move between order submission and execution. The risk may be greater during periods of:

  • High volatility or low liquidity
  • Market openings or closings
  • Significant economic announcements
  • Other market disruptions

Stop orders and other order types may also be executed at a different price from the specified trigger level where market conditions do not permit execution at that price.

06

Counterparty & Liquidity Provider Risk

Trading and execution arrangements may involve multiple counterparties, liquidity providers, brokers, venues, technology providers, and other third parties.

The failure, insolvency, default, suspension, or operational disruption of a counterparty or liquidity provider may affect the execution, settlement, or availability of transactions.

WINPROPRIME's infrastructure may incorporate multiple liquidity sources and configurable liquidity-provider arrangements; however, diversification of liquidity sources does not eliminate counterparty or third-party risk.

07

OTC & Off-Exchange Risk

Certain financial products may be traded on an over-the-counter (OTC) basis rather than through a centralised exchange.

OTC transactions may involve risks relating to counterparty exposure, liquidity, pricing, execution, settlement, and the ability to close or transfer a position.

The specific rights, obligations, pricing arrangements, and termination provisions applicable to an OTC transaction will depend on the relevant contractual documentation and service arrangement.

08

Technology & System Risk

Electronic trading depends on complex technology infrastructure, including trading platforms, APIs, FIX connectivity, networks, data centres, liquidity connections, and other systems.

WINPROPRIME supports technologies and connectivity such as FIX 4.4, MT4/MT5, cTrader, REST API, WebSocket connectivity, and institutional infrastructure deployed across Equinix locations.

Although WINPROPRIME employs monitoring, redundancy, session management, risk controls, and operational processes, no technology infrastructure can guarantee uninterrupted availability. Events that may cause disruption include:

  • System failures, network interruptions, or hardware/software failures
  • Data-feed interruptions or cyber incidents
  • Scheduled or emergency maintenance
  • Third-party outages or other operational events

Such events may result in delayed orders, rejected orders, incomplete information, or disruption to trading and execution.

09

FIX API & Connectivity Risk

FIX API and other electronic connectivity solutions allow institutional systems to communicate with liquidity and execution infrastructure. Connectivity depends on the client's own technology environment as well as networks, authentication systems, certificates, configuration, and third-party infrastructure.

Issues that may affect order transmission, market-data delivery, execution reporting, or post-trade processes include:

  • Incorrect configuration or authentication failures
  • Connectivity interruptions or message errors
  • Sequence gaps, system outages, or other technical issues

WINPROPRIME provides UAT and certification processes for its FIX connectivity, but clients remain responsible for the proper configuration, testing, security, and operation of their own systems.

10

Market Data Risk

Market data may be supplied through connected liquidity and technology infrastructure and may be subject to changes in availability, latency, depth, or pricing. Market data can differ between venues and liquidity providers, particularly during rapidly changing market conditions.

Information displayed or transmitted through a technology or connectivity service should not be interpreted as a guarantee that the same price or liquidity will remain available for execution.

11

Operational Risk

Trading businesses depend on effective operational controls, processes, personnel, technology, and third-party relationships. Operational failures may arise from:

  • System errors or human error
  • Incorrect configuration or communication failures
  • Cybersecurity incidents or third-party service interruptions
  • Infrastructure failures or other unforeseen events

Clients should maintain appropriate internal controls, business continuity procedures, access controls, monitoring, and contingency arrangements suitable for their own trading environment.

12

Cybersecurity Risk

Electronic trading infrastructure is exposed to cybersecurity threats, including unauthorised access, credential compromise, malicious software, denial-of-service attacks, data breaches, and other forms of cyber activity.

WINPROPRIME supports security and operational controls within its infrastructure, including authentication and secure connectivity mechanisms where applicable. However, cybersecurity risk cannot be completely eliminated.

Clients are responsible for maintaining appropriate security controls for their own systems, credentials, endpoints, networks, API integrations, and users.

13

Settlement & Currency Risk

Transactions involving different currencies may be affected by foreign exchange movements between the transaction currency and the client's reporting or settlement currency.

Changes in exchange rates may increase or decrease the value of positions, settlements, collateral, revenues, or losses.

Where multi-currency settlement arrangements are used, the applicable contractual terms, settlement processes, conversion arrangements, and associated costs should be reviewed carefully.

Financial markets and trading activities are subject to laws, regulations, regulatory requirements, and market rules that may change over time. Changes in applicable laws, regulations, licensing requirements, market structures, trading restrictions, reporting requirements, or regulatory policies may affect the availability, cost, structure, or operation of financial products and trading services.

Clients are responsible for understanding and complying with the laws and regulations applicable to their business, jurisdiction, customers, and trading activities. WINPROPRIME does not provide legal or regulatory advice. Clients should obtain independent professional advice where required.

15

Tax Risk

The tax treatment of trading activities, financial products, profits, losses, fees, financing costs, and related transactions may vary according to the applicable jurisdiction and individual circumstances.

WINPROPRIME does not provide tax advice. Clients are responsible for determining their own tax obligations and for complying with applicable tax laws and reporting requirements.

16

Costs, Spreads & Financing

Trading may involve spreads, commissions, financing charges, conversion costs, technology fees, connectivity costs, or other charges depending on the applicable service and contractual arrangement.

Clients should review the relevant commercial and contractual documentation carefully to understand all applicable costs before commencing trading or using a particular service. Trading costs may affect overall trading results and may become more significant when positions are held for longer periods or when market conditions change.

17

Past Performance

Past performance, historical execution results, liquidity conditions, spreads, fill rates, latency measurements, or other historical metrics should not be interpreted as an indication or guarantee of future performance.

Market conditions and technology performance can change, and future execution outcomes may differ from historical results. Any historical or illustrative information presented by WINPROPRIME is provided for informational purposes and should not be regarded as a guarantee of future results.

18

No Guarantee of Trading Outcomes

WINPROPRIME's infrastructure is designed to support institutional execution, liquidity access, connectivity, risk controls, and operational visibility. However, the use of institutional-grade infrastructure does not guarantee:

  • Profitability or execution at a particular price
  • Continuous liquidity or zero slippage
  • Uninterrupted connectivity or any specific trading outcome

Trading decisions and the risks associated with those decisions remain the responsibility of the relevant client or market participant.

19

Risk Management

WINPROPRIME provides risk-management infrastructure that may include pre-trade and post-trade controls, configurable exposure limits, book management, margin or credit validation, routing controls, and automated breach notifications, depending on the applicable configuration and service arrangement.

These controls are intended to help professional counterparties manage operational and trading exposure. They do not remove market, liquidity, counterparty, technology, or other risks associated with financial markets.

Clients should establish and maintain their own risk-management policies, limits, monitoring procedures, and contingency arrangements.

20

Business Continuity & Service Availability

WINPROPRIME operates institutional infrastructure across multiple technology and connectivity environments and uses monitoring and redundancy mechanisms to support service availability. Its infrastructure includes deployments across Equinix financial data centres and active-active configurations for production systems.

Nevertheless, unforeseen events may affect service availability or performance, including infrastructure failures, telecommunications failures, cyber incidents, natural disasters, power interruptions, market disruptions, third-party failures, or other events outside reasonable operational control.

21

Professional Counterparties

WINPROPRIME's services are designed for professional counterparties and institutional trading businesses. Before entering into any agreement or using WINPROPRIME's infrastructure, clients should assess whether the relevant service, trading activity, technology, and associated risks are appropriate for their business and operating requirements.

Clients should ensure that their employees, customers, counterparties, and other relevant users understand the risks associated with the financial products and trading activities they undertake.

22

Independent Advice

Nothing on this website should be interpreted as personalised investment, financial, legal, tax, or regulatory advice.

Where appropriate, clients should obtain independent advice from suitably qualified professionals before entering into financial transactions or implementing a trading infrastructure arrangement.

23
